Company formation and management

Simple joint-stock company (j. s. a.)

A modern form for start-ups and investor-backed projects — with low share capital and flexible shares.

I’m interested in this service

A simple joint-stock company combines the advantages of a joint-stock company with the simplicity of a limited liability company. The minimum share capital is just 1 euro, a single person can set it up and the shares can be tailored to the needs of founders and investors.

That makes it popular with start-ups and projects that expect investors to join later. We help you set up the statutes, share classes and shareholder rights and handle the entire formation for you.

What we take care of

  • Consultation on the structure — shareholders, share classes and the rights attached to them
  • Preparing the founding documents and statutes
  • Setting up relations between founders and investors, such as share transfer rules
  • Arranging all steps required for the company to be formed in the prescribed form
  • Registering the shares with the central depository
  • Filing for registration in the Commercial Register and monitoring the proceedings

Who the service is for

  • Start-ups and technology projects
  • Founders planning for investors to come on board
  • Projects that want to motivate employees with equity
  • Entrepreneurs for whom a classic joint-stock company is too demanding

How we work together

  1. Initial consultation

We discuss your plans and propose a suitable set-up for the company — shareholders, bodies, share capital and business activities.

  2. Preparing the documents

We prepare the complete incorporation documents and all related declarations for signature.

  3. Signing and filing

We arrange signatures in the required form and file the application for registration in the Commercial Register.

  4. Registration and first steps

We follow the proceedings until registration and guide you through the obligations that follow incorporation.

We handle the entire process for you — from preparing the documents to registration. All you do is review and sign.

Frequently asked questions

How does a j. s. a. differ from a classic joint-stock company?

A simple joint-stock company has a much lower minimum share capital, does not need a supervisory board and allows more freedom in setting the rights attached to shares. Its shares, however, cannot be publicly traded on a stock exchange.

Does a j. s. a. make sense without investors?

Yes, but its advantages really show when you expect further shareholders to join. Otherwise a limited liability company may be the simpler choice. We will look at it together during the consultation.
